Nothing in these Terms is intended to modify any other written agreement you may have with Lanhurst, if any, that may be in effect. In the event of any conflict between these Terms and any other written agreements you may have with Lanhurst, the applicable written agreement will control.

5.1 User Materials
If you submit any content to Lanhurst through the Site, email, social media, or other means (“User Materials”), you represent that you own or have the necessary rights and permissions to do so. By submitting User Materials, you grant Lanhurst an irrevocable, perpetual, worldwide, non-exclusive, royalty-free, fully paid-up, sublicensable license to use, display, reproduce, publish, transmit, store, modify, and create derivative works of your User Materials.
5.2 Feedback
If you provide any suggestions, ideas, or feedback (“Feedback”) to Lanhurst, you hereby assign to Lanhurst all rights in such Feedback. Lanhurst may freely use and exploit such Feedback for any lawful purpose without compensation to you.
5.3 No Confidentiality
You agree not to submit any information or materials to Lanhurst that you consider to be confidential or proprietary. Lanhurst will treat all User Materials and Feedback as non-confidential and non-proprietary.
6. Password Security
If the Site includes areas that require a username and password (or Personal Identification Number, PIN), you are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify Lanhurst immediately of any unauthorized use of your login credentials or any other breach of security. Lanhurst is not liable for any loss or damage arising from your failure to comply with this section.

8. Jurisdictional Issues
The Site is controlled and operated by Lanhurst from its offices in the State of Texas, United States of America. Lanhurst makes no representation that materials in or accessible through the Site are appropriate or available in other locations. If you choose to access the Site from other jurisdictions, you do so on your own initiative and are responsible for compliance with local laws. You may not use or export any materials from the Site in violation of U.S. export laws and regulations.
9. Governing Law and Consent to Jurisdiction
These Terms and your use of the Site will be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms or the Site shall be filed only in the state or federal courts located in Harris County, Texas, and you hereby consent and submit to the personal jurisdiction of such courts.

No waiver by Lanhurst of any breach or default under these Terms shall be deemed a waiver of any preceding or subsequent breach or default. Lanhurst’s failure to exercise any right or enforce any provision of these Terms does not constitute a waiver of such right or provision.
11. Severability
If any provision of these Terms is deemed unlawful, void, or unenforceable, that provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions.
12. Entire Agreement
These Terms, along with any other policies or disclaimers posted on the Site, constitute the entire agreement between you and Lanhurst regarding the subject matter herein and supersede all prior or contemporaneous communications, whether electronic, oral, or written. Lanhurst may assign its rights and duties under these Terms at any time without notice to you.
